Kitahama GRF Co., Ltd. (hereinafter "KGC"), a consolidated subsidiary of the Company, will establish a subsidiary with Amaryllo Inc. (Head office: Cayman Islands; Representative: Chao-Tung Yang; hereinafter "AMARYLLO"), a global company in the cloud services and security businesses, for the purpose of jointly conducting a one-time purchase cloud storage service business and a GPU hourly rental platform business in Japan.
[Purpose of establishing the subsidiary]
In order to fully launch operations at the 20MW Ninja Energy Data Center, which KGC is currently building in Iga City, Mie Prefecture, we were considering partnering with an IT company with which we could expect synergistic effects.
AMARYLLO is a company with excellent IT technology, with a wealth of knowledge in areas such as image processing AI and data storage processing methods, including the design and manufacture of semiconductor chips for image processing, the design, development and manufacture of surveillance cameras, data storage of camera images, and automated systems for real-time image processing, detection and reporting from camera image data. AMARYLLO has already launched and been successful in the United States and Taiwan, and was considering expanding its one-time purchase cloud storage service business and GPU hourly rental platform business into the Japanese market.
Our company and AMARYLLO have agreed to establish a subsidiary for the purpose of jointly operating a one-time purchase cloud storage service business and a GPU hourly rental platform business in Japan.
The subsidiary will be named "Amarillo Co., Ltd.", and our Executive Vice President Yoshiaki Hiraoka and AMARYLLO representative Chao Dong Yang will serve as representative directors. The initial capital will be 100% invested by KGC, and we plan to increase the capital in the future after discussing the investment amount and investment ratio between our company and AMARYLLO.
Going forward, we will continue to discuss the specific details of the business collaboration agreement with AMARYLLO.
